User Agreement (Terms of Service)

Welcome to Melororium. This User Agreement ("Agreement" or "Terms") constitutes a legally binding contract between you (either an individual user or a single business entity, referred to as "User", "you", or "your") and FOP Niesmielov Kyrylo ("Company", "we", "us", or "our"), the legal owner and operator of the Melororium software platform, website accessible at melororium.com, and all associated services (collectively, the "Platform").

By registering an account, subscribing to a Plan, or utilizing the Platform in any manner, you explicitly acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the legal authority to bind such entity to these Terms.

1. The Platform & Modular Structure

Melororium is provided as a modular, all-in-one productivity and business operations workspace. The Platform structure includes, but is not limited to, the following system modules:

• Task Management Module: Visual Kanban workflows, timelines, and recurring task architecture.
• Time Tracking & Performance Module: Visual employee logs, active counters, and performance analytics.
• Smart Budgeting Module: Linking task expenses, cash flow management, and project invoicing.
• Etsy Business Hub Module: Multistore marketplace sync, operational expense matching, and listing SEO tools.
• SMM & AI Content Assistant Module: Social media post scheduling and localized artificial intelligence copywriting capabilities.

The Company reserves the right to modify, optimize, update, or shift individual features within these modules to enhance performance, ensure security compliance, or adapt to technical requirements of third-party APIs (such as Etsy, Slack, or Stripe).

2. Account Registration & Security

To access the Platform, users must create an account providing an accurate, active email address and personal credentials. You are entirely responsible for maintaining the strict confidentiality of your account credentials. You agree to immediately notify the Company at info@melororium.com regarding any unauthorized use or security breach of your account space.

3. Subscription Plans & License Terms

Melororium operates on a flat-fee subscription model. A subscription grants access to the core functional architecture of the specific tier purchased for the duration of the active billing period. The subscription covers all team seats within the plan limit — no per-seat charges, no seat tax, no additional fees per user.

3.1. Plan Tiers & Seat Allocations

• Starter Plan ($29/mo or $249/yr): Grants access for up to four (4) user seats to all core modules. Includes 3 GB storage. Flat-fee — no per-seat billing.
• Agency Plan ($59/mo or $499/yr): Grants access for up to ten (10) user seats to all core modules. Includes 9 GB storage. Flat-fee — no per-seat billing. Most popular tier.
• Studio Plan ($119/mo or $999/yr): Grants access for up to twenty-five (25) user seats to all core modules. Includes 13 GB storage. Flat-fee — no per-seat billing. Includes exclusive loyalty discounts on future premium modules released by the Platform.

3.2. Unlimited Client Access Feature

Notwithstanding the user seat ceilings specified in Section 3.1, all active Tiers include unlimited, zero-cost access for external "Clients" or "Guests" via dedicated secure portal spaces. Client accounts are strictly limited to viewing shared progress timelines, downloading specific deliverables, and submitting project approvals. Client portals cannot log internal operational metrics or utilize core standalone module workflows.

4. Financial Terms, Upgrades & Refund Policy

All financial transactions are securely processed through our certified third-party payment infrastructure (Stripe) or authorized promotional channels (AppSumo Marketplace).

4.1. Billing & Refund Policy

Subscriptions are billed monthly or annually depending on the selected billing cycle. If you are unsatisfied with the Platform's performance or alignment with your business architecture, you may request a refund by contacting support within 30 days of your initial subscription payment date.

• Refunds for purchases made through AppSumo must be initiated directly through the AppSumo user dashboard.
• Refunds for direct website sales must be requested via email at info@melororium.com.

4.2. Tier Upgrades

Users may upgrade between subscription tiers (e.g., transitioning from Starter to Agency or Studio) at any time. Upgrades take effect immediately and are billed at the new tier rate from the next billing cycle.

5. Acceptable Use & Operational Ceilings

You agree to utilize the Platform strictly in compliance with applicable local, state, national, and international laws. You are expressly prohibited from:

• Engaging in reverse-engineering, decompiling, or attempting to extract the underlying source code of Melororium.
• Utilizing the Platform to distribute malicious software, automated spam campaigns, or hosting unlawful content.
• Bypassing or attempting to manipulate the established multi-seat thresholds or API usage allotments.

6. Limitation of Liability & Warranty

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis during the current MVP launch phase. To the maximum extent permitted by applicable law, FOP Niesmielov Kyrylo disclaims all warranties, express or implied. In no event shall the Company be held liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business operational continuity arising out of your utilization of the Platform.

7. Governing Law & Dispute Resolution

This Agreement and all interactions with the Platform shall be exclusively governed by and construed in accordance with the Laws of Ukraine, without giving effect to any principles of conflicts of law. Any legal dispute, claim, or controversy arising out of this Agreement shall be subject to the exclusive jurisdiction of the competent courts of Ukraine.
